These Terms of Use (the "Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Vintrak, Inc., a Delaware corporation ("Vintrak," "Company," "we," "us," or "our"), governing your access to and use of Vintrak's website, applications, and related services (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. ELIGIBILITY

You must be at least eighteen (18) years of age to access or use the Services.

By using the Services, you represent and warrant that:

  • You are at least 18 years old; and
  • You have the legal capacity to enter into a binding agreement

2. DESCRIPTION OF SERVICES

Vintrak provides a software platform designed to enable users to track, manage, and organize information relating to vehicles, including but not limited to:

  • Vehicle identification and specifications
  • Maintenance history
  • Modifications and build logs
  • Documents and records
  • Ownership-related data

The Services may incorporate third-party data sources and infrastructure providers.

3. ACCOUNT REGISTRATION AND SECURITY

To access certain features, you may be required to create an account.

You agree to:

  • Provide accurate, current, and complete information
  • Maintain the confidentiality of your login credentials
  • Notify us promptly of any unauthorized use

You are solely responsible for all activities conducted under your account.

Vintrak reserves the right to suspend or terminate accounts that violate these Terms.

4. USER CONTENT

4.1 Ownership

You retain all rights in and to any content you submit, upload, or store through the Services ("User Content").

4.2 License to Vintrak

By submitting User Content, you grant Vintrak a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:

  • Host, store, process, and display such content
  • Operate and improve the Services

This license exists solely for the purpose of providing the Services.

4.3 Responsibility

You are solely responsible for your User Content and represent and warrant that:

  • You have all necessary rights to submit such content
  • Your content does not violate any law or third-party rights

5. ACCEPTABLE USE

You agree not to:

  • Use the Services for any unlawful purpose
  • Upload false, misleading, or fraudulent information
  • Attempt to access accounts or data belonging to others
  • Interfere with or disrupt the Services
  • Reverse engineer, scrape, or exploit the platform
  • Introduce malicious code, viruses, or harmful technologies

Vintrak reserves the right to investigate and take appropriate action, including suspension or termination.

6. VEHICLE AND THIRD-PARTY DATA DISCLAIMER

The Services may include vehicle-related information derived from VIN decoding or third-party data sources.

Vintrak makes no representations or warranties regarding:

  • Accuracy
  • Completeness
  • Reliability

Such information is provided for informational purposes only and should not be relied upon as definitive.

7. NO PROFESSIONAL ADVICE

The Services are provided for informational and organizational purposes only.

Vintrak does not provide:

  • Mechanical advice
  • Automotive recommendations
  • Financial or valuation advice
  • Insurance or legal guidance

Any decisions made based on information within the Services are at your own risk.

8. INTELLECTUAL PROPERTY

All content and materials provided by Vintrak, including but not limited to:

  • Software
  • Design
  • Logos
  • Text
  • Functionality

are the exclusive property of Vintrak or its licensors and are protected by applicable intellectual property laws.

You may not reproduce, distribute, or create derivative works without prior written consent.

9. THIRD-PARTY SERVICES

The Services may rely on or integrate with third-party providers.

Vintrak is not responsible for:

  • The availability or performance of such services
  • Any data or content provided by third parties

Your use of third-party services is subject to their respective terms.

10. TERMINATION

Vintrak may, at its sole discretion, suspend or terminate your access to the Services:

  • For violations of these Terms
  • For legal or regulatory reasons
  • For operational or security concerns

You may terminate your account at any time.

Upon termination, your right to use the Services will immediately cease.

11. DISCLAIMERS

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VINTRAK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF DATA

VINTRAK DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VINTRAK SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES
  • LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES

IN NO EVENT SHALL VINTRAK'S TOTAL LIABILITY EXCEED THE GREATER OF:

  • ONE HUNDRED U.S. DOLLARS ($100); OR
  • THE AMOUNT PAID BY YOU TO VINTRAK IN THE PRIOR TWELVE (12) MONTHS

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Vintrak and its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses arising out of:

  • Your use of the Services
  • Your violation of these Terms
  • Your User Content

14. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of such courts.

15. MODIFICATIONS TO THE SERVICES

Vintrak reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, without notice or liability.

16. CHANGES TO THESE TERMS

Vintrak may update these Terms from time to time.

Continued use of the Services following such updates constitutes acceptance of the revised Terms.

17. MISCELLANEOUS

  • These Terms constitute the entire agreement between you and Vintrak
  • If any provision is held unenforceable, the remaining provisions shall remain in full force
  • Vintrak's failure to enforce any right shall not constitute a waiver
